1. About These Terms
These Terms and Conditions ("Terms") govern the provision of consulting services by Halcyon Forge, a business registered and operating in Malaysia, to clients ("you" or "the Client"). By engaging our services or entering into a service agreement with us, you accept these Terms in full.
These Terms apply to all three service offerings: the Business Health Review, the Next-Stage Planning Advisory, and the Owner Advisory Session. Where a specific engagement letter or service agreement has been signed, that document is to be read together with these Terms. In the event of any conflict, the signed agreement shall take precedence.
2. Our Services
Halcyon Forge provides business advisory and consulting services to small and medium enterprises (SMEs) in Malaysia. Our current service offerings are:
- Business Health Review โ a structured assessment of your business's current state, delivered as a written reflection document. Priced at MYR 2,760.
- Next-Stage Planning Advisory โ a facilitated planning engagement typically spanning six to eight weeks, resulting in a planning document, financial sketch, and a follow-up conversation. Priced at MYR 3,260.
- Owner Advisory Session โ a single two-hour confidential session focused on a specific business question, followed by a written summary note. Priced at MYR 620.
Service descriptions, scope, and deliverables will be confirmed in writing prior to the commencement of any engagement. We reserve the right to update pricing and service definitions; however, any changes will not affect engagements already confirmed in writing.
3. Engagement and Acceptance
An engagement begins when both parties have exchanged written confirmation โ either via email or a signed engagement letter โ agreeing on the service, scope, and fee. No engagement is considered active until this confirmation has taken place.
We reserve the right to decline any engagement at our discretion, including where we identify a potential conflict of interest or where we do not believe we are well-positioned to serve the prospective client's needs.
4. Fees and Payment
Fees for each service are as stated in our current service schedule and confirmed in writing at the commencement of each engagement. All fees are quoted in Malaysian Ringgit (MYR) and are inclusive of applicable taxes unless otherwise stated.
Payment terms will be specified in the engagement confirmation. In general:
- Owner Advisory Sessions are invoiced in full prior to the session date.
- Business Health Reviews are invoiced 50% upon confirmation and 50% upon delivery of the written reflection document.
- Next-Stage Planning Advisory engagements are invoiced according to a schedule agreed at the outset, typically in stages aligned with key deliverables.
Invoices are payable within fourteen (14) days of the invoice date unless otherwise agreed. Late payments may incur interest at a rate of 1.5% per month on outstanding amounts, calculated from the due date.
5. Cancellation and Rescheduling
We understand that business circumstances change. The following cancellation terms apply:
- Owner Advisory Sessions: Cancellations made more than five (5) working days before the scheduled session will receive a full refund of any payment made. Cancellations within five working days of the session will be subject to a cancellation fee of 50% of the session fee. The session may be rescheduled once without penalty if notice is given at least two (2) working days in advance.
- Business Health Reviews: If a client withdraws after work has commenced, fees will be charged proportionally to the work completed at the time of withdrawal. The initial deposit of 50% is non-refundable once the review has begun.
- Next-Stage Planning Advisory: In the event of early termination by the client, fees will be charged for all work completed and costs incurred to the date of notice of termination. Any advance payments in excess of work completed will be refunded.
Halcyon Forge reserves the right to cancel or reschedule engagements in exceptional circumstances. In such cases, we will provide reasonable notice and offer a full refund or reschedule as appropriate.
6. Confidentiality
We take the confidentiality of client information seriously. Any business information, financial data, or personal details shared with us in the course of an engagement will be treated with care and discretion. We will not disclose client information to third parties without the client's prior written consent, except where required by law or regulation.
If you require a formal non-disclosure agreement (NDA) prior to sharing sensitive information, we are happy to accommodate this. Please raise the matter before beginning any substantive information exchange.
Equally, we ask that clients treat as confidential any proprietary methods, frameworks, or materials shared by Halcyon Forge in the course of an engagement. These remain the intellectual property of Halcyon Forge.
7. Deliverables and Intellectual Property
All written documents, reports, plans, and materials prepared by Halcyon Forge for a client as part of a paid engagement are provided to the client for their own business use upon receipt of full payment. This includes the written reflection from a Business Health Review, the planning document and financial sketch from a Next-Stage Planning Advisory, and the summary note from an Owner Advisory Session.
Halcyon Forge retains ownership of all underlying methodologies, frameworks, templates, and general intellectual property used in the delivery of services. Clients may not reproduce, sell, or distribute our materials without written permission.
8. Nature of Our Advice
Our services are advisory in nature. We offer perspectives, analysis, and structured thinking to support your decision-making. We do not make decisions on behalf of clients, and our work does not constitute legal, financial, tax, or regulatory advice.
Clients are responsible for their own decisions and for seeking appropriate professional advice (legal, accounting, tax, regulatory) where required. Halcyon Forge will not be liable for the outcome of any business decision made by the client, whether or not that decision was influenced by our advisory work.
9. Limitation of Liability
To the maximum extent permitted by applicable Malaysian law, Halcyon Forge's total liability to a client in respect of any engagement shall not exceed the total fees paid by the client for that specific engagement.
We shall not be liable for any indirect, consequential, or special loss or damage arising from or related to our services, including but not limited to loss of profit, loss of business, or business interruption.
10. Governing Law and Disputes
These Terms and any engagement agreements are governed by the laws of Malaysia. Any dispute arising from or related to these Terms or an engagement shall first be referred to good-faith negotiation between the parties. If a resolution cannot be reached, the dispute shall be referred to mediation or, failing that, to the courts of Malaysia.
11. Amendments
We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. The version displayed on our website at the time of engagement confirmation shall apply to that engagement. We will endeavour to draw your attention to material changes.
